just a bargain price for a good chip, and wanted to do some nice upscaling as well as play some games on the machine. more future proof and because i might as well do it nicely while i'm building from scratch
I'm currently bulding an htpc myself, in an Antec Nsk 2400 which is indentical in dimensions to the Antec Fusion you're using. I'm almost certain a Ninja would not fit as its too tall. If there is any doubt, i have a Ninja on my desk here so i can test it out, or you can check case and heatsink dimensions.
I'll be using the stock heatsink to begin with as i'm on a tight budget but i went to great lenghts to get a micro atx board with onboard graphics, hd sound and decent overclocking options (and to my knowledge there are only two boards which fit the bill), so i will be overclocking my 3200+ in future and might be looking for a heatsink.
I was considering the 120mm fan zalman one as its cheap, but if i had the money i would get an XP 120 with a 38mm panaflo if it will fit, and that would probably perform almost as well as a Ninja.
What motherboard are you looking for, and do you require overclockability?
Well the only two boards with both onboard hd sound and 6150 graphics with dvi are the Foxconn Winfast 6150K8MD and 6150BK8MC, and only the latter is available in the uk.

However, you seem to have a higher budget, so i would recomend the Dfi INFINITY RS482 which has extremely good overclocking option, much better than the foxconn, but only has ac 97 sound, which you could replace with a soundcard.
Those are all 939 as i'm upgrading another pc and using the 939 3200+ from that for the Htpc, so you will have to see whats available for AM2.
Anything from foxconn should have the same bios as all their similar mAtx boards which is the only mAtx board apart from the Dfi i believe with Vcore adjustment. Fsb is limited to 250 max tho.
63+38 = 104mm and you also need breathing room for the fan as there isn't a vent directly over the cpu.
Antec says Fusion is 130mm ish so that should fit ok.
If you're going AM2 finding a decent heatsink will be a bit of a pain as there aren't many about.

Edit2: Just another point about the Fusion, we had to take the TV stand back and get a bigger one as the case is quite wide, wider than most normal av stuff. Be sure to check it will fit, unlike me.
Ended up paying twice the price for a rubbish stand because the case was an inch too wide.
I have had a Zalman 7700 and 9500 in my HTPC and on minimum rpm both were quiter than the HDD (samsung) and DVD drive. Even when decoding HD files both could keep an x2 3800 @ stock at lower than 45C.
The 9500 is a bit bigger but fits inside my silversone LC16 case and is about 3C cooler.
