SILENT PC WOES - do you know?

Hi all,
I bought a new fan less SPARKLE PSU to go in my IPcop Firewall that is switched on 24/7. After 10 mins of being switched on the PC started rebooting itself.
I found the following.
When either a CD drive or an HD was attached by themselves....
As soon as either type of drive attempted to spin up the system would reboot.
I could not feel any excessive amounts of heat.

Is my new fan less PSU knackered and not supplying the correct voltage or what? Does anyone have any suggestions or thoughts?

I have reconnected the old (noisy) PSU and the system is fine.

Its running on an old PII 400, (my very first PC).

- The only noise it generates are from the PSU (old 300 watt job) and the brand new 40 gig western digital HD.
- The PII CPU has a huge heatsink on it and does not require a fan (it has be running for years now without any problems.
- The mobo has a northbridge heatsink on it and also does not require a fan.

1x CD drive
1x MOBO
3x 128mb sticks of the old PC100 SDRAM
1x 40gig western digital HD
1x Standard ATI AGP rage pro Graphics card.
3x Network cards PCI
 
It recommended 197 watts and that was with a P4 willamette 1400 (lowest pentium I could find in the list.
The FSP Sparkle FSP300-60GNF Zen Noiseless 300W ATX2.0 PSU is rated at 300 watts.
