Spec for £300

Hi guys, a mate of mine needs to upgrade some components in his ageing pc.

He would like a new motherboard, ram, CPU and a copy of win 7. The budget is just about £300. He doesn't do any overclocking and he he already had a decent psu 128gb vertex 3 and a Asus 560ti gtx. Oh he is also looking to stay intel too.

Any advice you can provide would be welcome.
