Just the case = everything in it, got a monitor/keyboard/mouse/mat/cat5e/speakers/power leads etc.

Overclocking conroes seems to be the rage at the moment, it will be a gaming rig so it doesnt need a lot of hdd space, just enough for a few games at a time :)

For this budget you should be able to get the E6400 and down the graphics card, slightly. But unless you will be overclocking a fair amount. Keep the E6300. If it was me id try fit in the E6400 =]

Another thing, you should have a look at the G.Skill RAM if you're overclocking. Slightly cheaper and slightly better for overclocking.

i'll be playing quake4/prey a lot, i heard ati's have a few niggleing problems with the d3 engine, is that true?
