Spec me a HTPC

My HTPC is in need of a rebuild. I purchased a Nova HD S2 HDTV card today and my PC is struggling to run without maxing CPU 100% BBC One HD.

Current specs are as follows
Pentium 4 3.4mhz
1GB Ram
3 Hard Drives, 80, 120 & 500GB
AGP Nvidia 6800 512GS
Housed in a Silverstone case (will this be compatible with new mobos?)

So I want to build another PC 'just' for HTPC purposes no gaming as I have an Xbox 360 for this :)

So can someone spec me the following
Mobo
CPU (not bothered AMD or Intel, just the best for the job in hand)
PSU (will my current ATX be redundant?)
Ram
And a PCI Express Gfx card.

As you can tell by my current rig which was the nutz in its day I am totally noob to new technology and what is best.

I basically want a rig capable of playing HD movies in 1080p smooth with minimal CPU load as well as keeping temps down without too much fan noise as it will be housed under my TV like current.
 
Do you think my CPU is the prob here and only 1GB ram. I just do not want to upgrade for it to still struggle with HD content.

From what I have read on the forums re the Nova HD card, what i consider high end still struggle.

I would need a new gfx card because my current 6800 is AGP, if I change the MOBO it will be PCI-E?
