Spec me a (replacement) SFF mobo/case/cooler.

Here's the deal, I've got a shuttle SD37P2 v1, It's been ok up to now but i've just hit a big issue - i can't get it to take 4gb of RAM.
All 4 ram modules are Corsair 6400C4, and all test fine individually with memtest and in all 4 dimm slots. I put them all in and start getting BIOS ROM checksum errors. Some googling reveals that someone else had this issue and it was fixed by a bios downgrade, so i go back to two dimms, boot to vista and downgrade to the bios version which worked for the other guy. It would now POST, but it's not memtest stable and won't boot windows. It's 100% stable on 2 dimms.

The system has never overclocked, even from 266->300fsb and the passive northbridge heatsink gets scorching hot, so in my current ****** off mood i've decided to replace it and get something new, and I'd love to pick your brains as I've been a little out of touch with the SFF world the last couple of years.

Here are my requirments :
I'd like to keep my current chip, a E6600, and be able to overclock it to at least 3GHz
I'd like to use the 4x1GB RAM dimms i already own.
I'd like to use my 8800GTX, so It'll need a case and mobo which can take it, as well as a full sized PSU.
I'd like to use my 2x sata raptors in raid, and need an extra sata port for my DVD-RW.
Preferably not too loud, at least in sleep mode when the raptors shut up :D
