Stock Intel HSF vs anthing else if I'm not overclocking?

I'm looking to put together a HTPC based around something like the Intel E2200, so not super powerful nor with the machine's use am I thinking of over overclocking it.

Noise is an issue. How noisy are the stock HSFs these days, is it worth swapping it out anyway for something quieter?
 
well my Tuniq Tower on stock fan is much noisier than my stock HSF.


apparently the TRUE can run passive with cool cpus though.
 
my none overclocked e2180 on stock HSF is unbeliebably noisy and the CPU still sits between 50 and 60 degree's

if your not overclocking, could you not get away with a good passive cooler?
