Strange Happenings in Windows.. flashing dialog box and timer

in windows and i keep seeing the outline of a window flash on my screen, and sometime i will get a timer(cursor) when im not doing anything. so something much be running in the background that shouldnt be.. any ideas?

I have this that keeps appearing and then going in the task manager SWHCIInit.exe anyone know what that is
