system help needed

looking for a new motherboard and 4 gig (DDR2) of ram. Can anyone recommend a good pairing and has some good overclocking potential.

I have a E6300 core2 which i need to drop into it but i will eventually upgrade the CPU to a quad but not just yet.

This should meet your requirements, if it is above your budget then you could do worse than considering the Gigabyte P31 DS3L which is basic but a good overclocker.

they all have Raid just set up in Bios

Then the P31 DS3L is a no go for Raid but the IP35 would be fine for your purposes. It is well tested, overclocks nicely and is quite feature rich.
