Looks fine but that CPU is a waste of money, get the 920 D0.

what would be the advantage ? are they better at overclocking ?

I agree with Mr x plosion, the 940 is not worth it. Slightly higher multi (still locked), same stock qpi speed, c0/1 stepping. Go for the 920 D0 stepping, you will likely get better overclocks at lower volts than the 940.

The 920 can be clocked in many cases to 4GHz (and beyond) and it's half the price of the 940 - seems like a waste of 240 quid.
