The diff between Retail and Oem

I was wondering is the only difference between Oem and Retail the fact you get a hsf or is the warrenty different as well please..

I was going to buy an Oem conroe cpu from Oc but I have decided to get the retail E6400 instead peace of mind, but no doubt I will have upgraded the cpu again befor warrenty runs out lol, These things do come off the production line very quick lol.... :p
