uGuru Indication no CP Clock/PC Knackered!

My machine looks as though it has gone down the tubes with the following symptoms:

uGuru Panel reads everything other than CP Clock
PC will not boot
no graphics
POST Indicator reads 37 when 'booting' F0 after that

Have swapped out graphics card for know good one, swapped out
CP from Opteron 170 to A64 3200 but still no joy removed RAM,
put in one pair of RAM still same syptoms.

Anyone suggest anything else to try, all power leads are tight/located
front panel HDD lights stays on for about 30secs then goes out

Tried resetting CMOS but still no joy

Help!!!!!

might help if you said what board u got dude obviously an abit one but which................

ok, sri was Abit AN8-Sli Fatal1ty.

found out it was the CP swapped it for another reset BIOS and up it came so will RMA it as it's only 5 months old
