Does anyone know if the Thermalright Ultra-120 fit into a Asus P5K Premium/WiFi-AP?

Also what 120mm fan would you recommend and 1 or 2?

1x Scythe S-Flex for quiet.
1x Yate Loon SL for cheap + quiet (SM for more performance [louder] and cheap)
1x Sharkoon silent eagle 1000 for inbetween quiet and cost.

2x Scythe Ultra Kaze (if you can fit them) for performance with less regard for noise and cost.

2x Delta Fans for ultimate performance and deafness.

Yes it will fit a Premium no problem. although if you haven’t already got the board yet I would say go for the P5K-E instead of the Premium simply because you are not watercooling and don’t need the addition cooling solution the Premium comes with.

What cpu will it be cooling? will you be overclocking?

Careful about d12h - because fans normally have a starting voltage above 3v you won't be able to get it to be very quiet. In addition there are very few (if any?) fan cheap fan controllers that will go below 7v.

12sh stands for 120mm fan high speed. 12sl and 12sm are slow and medium speed respectively.

And 'S' stands for sleeve type bearing, that’s your yate loon nomenclature in a nut shell :)

The curved blade type d12sh's are great on rads and heatsinks, I run them on a zalman fan controller and find them very quite at 5volts.
