Upgrade advice (another "which 939 motherboard" thread)

I have a spare Athlon 64 3000+ CPU from another system upgrade which I was thinking of using to upgrade my system which is currently used for email, internet, file-serving, video & audio encoding. Current spec:

ASUS A7N8X-E
Athlon XP 2500+ Barton
1GB RAM
Geforce 4 Ti4200 64MB AGP

939 motherboard must haves:
- cheap
- Gigabit LAN
- passively cooled
- SPDIF (co-ax) audio output
- some ability to overclock but retain control of memory speed (not essential but would like to re-use my 1GB of RAM if possible for now).

My first thought was the ASRock dual SATA as it would allow me to keep my RAM and graphics card for now, hence being easily the cheapest option. Unfortunately it doesn't have the Gigabit LAN or SPDIF.

Any other contenders that meet my requirements? Is this upgrade even worth it or should I just try and sell the Athlon64?

Does most of what you want and allows you to keep using your current grapihics card for now if you want to.
Not sure on the sound options though.

If your Barton is unlocked, auction it and the mobo and you should have enough to buy the Asrock board

Thanks for the suggestion but as I said in my post I've looked at this board and it doesn't have either Gigabit LAN or SPDIF out as far as I can tell.

Is there anything similar around that would cover these two requirements?
