Upgrade advice please! (again)

I am so out of touch with PC hardware its unbelievable!

Core i5 retail - clocked to 3.6 easily under a H50
Asus P7P55D Evo Intel P55 (Socket 1156) DDR3 Motherboard
Geil Ultra Series 4GB (2x2GB) PC3-17000 2133MHz Dual Channel Kit (GU34GB2133C9DC) - OEM
Corsair h50 cooler


Is the above system a worthy/decent upgrade from my current spec (in sig).


I am VERY close to buying the above parts, so I need advice ASAP :)


If you can point out any good/bad points please do so. If the above is a decent upgrade from what I currently have, I will probably also very soon upgrade the gfx card! My current rig has been flawless and lasted me a year, and I now plan to upgrade and also reduce the noise level of my PC. Will the H50 help?
 
I'd say no, its not much of a step at all, I'm in similar situation, running C2Q system and got upgrade itch but keep reminding myself that any upgrade would cost disproportianately more than any performance gain. I'd recomend you try n wait it out, maybe buy a SSD for an all round smoother feel, or if as you say its noise thats an issue then invest in better/quieter case/cooling
 
The upgrade would probably cost me about £60-£80. Would you still say its not worth it?

-Does DDR3 not make much difference over DDR2?
-Is the H50 cooler silent?

More opinions please! :)


EDIT: The reason why I am leaning in favour of this upgrade is because the guy lives local so I can go down and view the setup, no postage costs, all parts relatively new with receipts. I will then sort my PC out with hopefully a Blu-Ray writer, SSD, and new GFX card but they will cost!

I don't need any advice on the above now, as I have 'almost' bought it. :p

All parts just over a week old with receipts, bought new from ocuk for ~£450, mine for approx 75% of the price. Will collect them all next week, gives me enough time to sell off my current gear. :)

I was chatting to a mate earlier and he reckons I should buy 2x SSD hdds (RAID) to the system, and that would give it a significant boost.
