Upgrade - Advice please?

Looking to upgrade my PC from my ageing AMD system, but having been out the loop for a while i dont know where to start....

My current rig consists of :

3800X2 o/c to 2700mhz
A8N - SLi
OCZ Gold 2gig
8800GTS

Im looking to upgrade the motherboard, processor and memory for around 350quid, will it worth it?

I'd be looking at overclocking as far as i can!!!

Any advice would be appreciated.

Bit over budget but should overclock very nicely, if the £350 is a strict limit then change the CPU for an E6420 and it should hit the budget.
