Upgrade from Opteron 146 Epox set up

Looking for a P35 motherboard that will allow me to keep my IDE CD & DVD writers. -- £80 ish
The boards I have been looking at are:
Abit IP35 (Socket 775) PCI-Express DDR2 Motherboard
And the
Asus P5K Intel P35 (Socket 775) PCI-Express DDR2 Motherboard

Motherboard for general use and games, based on Vista 64 Bit.

For the rest of the setup I was going to use
Alaska Ultra Quiet 460W – carry over from 939 set up
Intel Core 2 Duo E2180 "LGA775 Conroe" 2.00GHz
2 sets (Total 4 sticks) of GeIL 2GB (2x1GB) PC2-6400C4 800MHz Ultra Low Latency DDR2 Dual Channel Kit
Or
OCZ 4GB (2x2GB) PC2-5400C5 Dual Channel Vista Upgrade Gold

Or do I go for one of the Overclockers Bundles and add an extra 2GB of memory?
I am flexible if someone can recommend better around the same cost, then please do.
 
What graphics card do you have? Neither of those two comes with onboard graphics. If you have already got something suitable or at least budgeted for it then I'd go for something like the below.

I have a PCIE graphics card that will work (Raden X800), however I do need to update this as well, may look at some of an ATI Radeon X1950 or simlar.

New system for circa £350

Just hope that my Alaska Ultra Quiet 460W will be OK
