Upgrade gaming rig and make up quite DL/File server rig from parts

I have a few quid to spend up updates in the £400-£500 range, my two system are below and I will not need DVD RW, monitors, mice or keyboards, I was thinking that I could get a CPU upgrade for the gaming pc (E8500 wolfdale and clock it out to 4ghz). I could then take the E6600 over to the other PC

Get a cheap mobo (GA-EP45-DS3 w/Artic Cooling Freezer 7 pro OR Thermalright Ultra 120a) that will clock the E6600 to 3.2Ghz again and a cheap graphics card (something fan less? No idea though, will only be desktop stuff, websites and word).

Then buy 2 gig of 1066hz ram (GeIL 2GB Black Dragon OR OCZ Reaper)and take the crucial stuff over to the old but quite PC. Both machines are running WinXP PRO, I am waiting for Windo$e 7.

If I have missed any information I will be happy to answer questions just post. I am trying to achieve a near silent given the money 2nd pc and a gaming rig with a bit more poke.

Old but quite PC

BeanTec case, beige as it comes but well made steel case (more than likely hard to fit new heat sinks though? If I need a new one quite as possible given money would be great)
ASRock K7VT4A Pro Socket A KT400A ATX
AMD Athlon 3200XP (but running @ 1.8Ghz because ASRock only supports 333Mhz FSB and the dog won’t hunt on the overclocking front)
1gig crucial ram no idea on speed.

I have had a though the CPU in the gaming rig is ok for now I could instead get a Q6600 instead which will future proof me for later on since multi threading programs are the future?

What do you guys think?
