Upgrade - Possible compatibility issues?

I'm planning on buying:

• AMD Athlon 64 3000 Newcastle 130nm (Socket 754) - Retail (CP-070-AM)

• Gigabyte K8NS nForce3 (Socket 754) Motherboard (MB-024-GI)

..with the intention of using them with some components I already have:

• Seagate Barracuda 7200.8 NCQ 300GB SATA150 7200rpm 8MB

• Elsa GLADIAC 721 (64 MB) AGP(4x) GeForce3 Ti 200 Graphics Card (an ancient beast I know, but I don't play games!)

• 1Gb PC3200 DDR

Can anybody see any possible compatibility issues?
