Upgrade to 775 from 939, spec me plz

Hello, ive been asked to do partial upgrade to 775 from 939, all for under £225, requirements for the three parts required are as follows:

-CPU able to reach 3Ghz on air (aftermarket cooling not required as current will transfer over)
-Motherboard needs to be decent overclocker from P35 range
-2gb system Memory

Have idea's, however your suggestions will be apreciated.

Looking good (and Duke's list), I can source Intel's Core 2 Duo E6750 for £119.00, would that work out a decent bet over above cpu in terms of getting a little extra out of it (well that and be able to keep 6400 mem more or less close to stock)? Im not too up on these varients, as i only have experiance with E6600 and Q6600 when it comes to the multi's.
