Upgrading my system, need help!

Hey, I am looking to upgrade a prebuilt hp system, it has 6gb of ram, an i5 [email protected] processer, and a gt220 graphics card. I am looking to get a new case, new psu and new graphics card. However it has been recommended that I overclock my system so would have to get a new mobo where my bios isnt locked? Anyways I have about £400 to play around with and am basically looking for the best upgrades i can get for my money so i can play most games in full fairly easily, up for any suggestions offered!

My screen is resolution is 1920x1080, the ram i have comes in 3 sticks of 2gb at 667 MHz (DDR3 1333). Also what do you make of this http://www.overclockers.co.uk/showproduct.php?prodid=BU-005-CM i really like the case and looks like a good psu. Furthermore I heard somewhere if you get a new motherboard you have to get a new OS licence? That could be total BS haha but thought I read it somewhere.

If I dont overclock my processor, how well will I be able to play top end games on full eg crysis etc? If its very beneficial I could spend 450 and get a new fan or heatsink for the processor.
 
Ye it is OEM unfortunately, so I guess that means another 80ish for windows 7. Well I have about £450 to play around with so I will see what people suggest on what to upgrade for that money. Thanks a lot for the help so far.
 
Ye I will stick to a new case, psu and graphics card then. So what gpu gives you the best bang for its bucks as they say, that wont be bottlenecked by my processor.
 
Would the larger case benefit me really? I suppose makes upgrading it in the future much better which is always a bonus
