How much are you paying ? If its cheap then give it a go but to be honest you can almost certainly get a custom unit built for around the same price or even cheaper that will outperform the vapochill by a long way. Also It can then be tuned correctly to you cpu.
I know the Vapo's are notorious for tellings pokys about the evap temps, -40 on the controller will probably mean closer to -20 in real life. As for overclocking you'll be able to push some more volts through the CPU without too much worry, ofcourse its dependant on your particular chip and varies greatly, I'm sure you could get above 4Ghz tho.
If you do decide to go phase, the only thing I will say is Preperation is the key to success, you MUST take your time to insulate the motherboard and components around the CPU properly, Condensation is a killer. Plenty of Dielectric grease front and back of the motherboard and Neoprene to make it airtight around the CPU socket.
From memory these were tuned for 150W load, so it doesn't give you much of a futureproofing if you go quad or more core in the future (I even overloaded mine on a single core to be honest).
