Please search before starting a thread, as you can tell this question has been asked many times before :)

What is Vista OEM?
OEM stands for original equipment manufacturer.
Advantages of OEM:
- Much cheaper price (£72 Vs. £200)
Disadvantages of OEM:
- OEM copies of XP/Vista are restricted to the original computer they're installed on, Microsoft determine a change in motherboard as a new computer. You can change other hardware components and still follow your EULA. However, Microsoft have known to be slack with re-activating OEM XP/Vista copies, this does not make it legal however.
- No support from Microsoft

What is Vista Retail?
Vista in retail packaging
Advantages of Retail:
- You can transfer your license to another PC AS LONG as it's only installed on one pc at one time (You cannot have 1 retail license on 2 computers)
- Support from Microsoft
- Your license supports 32Bit and 64Bit versions, however the 64Bit media has to be bought for £8 over the net
Disadvantages:
- Much more expensive.
