I have a ATI mobo, and am looking at replacing my 9800Pro, which struggles with Toca 3 with fixed refresh rate, otherwise it looks aweful on the LCD with the vertical sync out.

i have a budget of around £150 all in. I dont know what I can get for my money, but I have used ATI tool to clock my card t around 405 Mhz with no artis. the ones I am looking at seem to be higher than this 440 etc, and some which are 500mhz which are cheaper than some of the slower ones?

I have the PC running MCE2005, so any added benefit upscaling DVD's an advantage, I hear Nvidia are best for this, as TheatreTek uses a Nvidia decoder, but gaming is not as good as ATI? Rest of spec as follows

P4 3.4, 1GB PC3200 DDR, 1*sata 1*ide, 478 mobo Epox?

So whats my options from OCUK?

Since you are on AGP with your budget your options are basically an X800 GTO or a 6800gs, either one would offer a significant improvement for you. I think the 6800gs is a bit faster overall but then it does cost around £20 more :)
