what replacment for MSI type msi-7519 motherboard

need advice

I need to replace as the msi-7519 motherboard 775, it is defective but I want to use existing ram ddr2, cpu pentinm core 2 quad q8200, graphics etc.
any suggestions and things to watch out for, eg box compatibility, power supply, any other ?

i've been offered the following

ASUS P5QPL-AM S775 G41 MATX DDR2
or
MSI P35 Neo2 Motherboard
