What should I upgrade first and what to?

My specs are the following:
Asus GTX 770 OC edition 2gb DDR5 (with 1 failing fan)
AMD FX 8350 @ 4ghz (unable to OC due to mobo)
Asus M5a97 r2.0 (can barely run my current CPU)
4x8GB DDR3 ram @ 1866mhz
512gb SSD with OS
2tb WD black
1 1080p monitor

Any help is greatly appreciated and I would also like to add, that my current max budget for upgrading is £300, so UK prices please.

Do you primarily use the PC for gaming? If so, given that the fan is failing, you should replace the GPU first. a GTX 1660 Super will do you very nicely. Next year, when funds permit, upgrade to a B550 motherboard, Ryzen 3600, and 16 GB 3600 MHz DDR4 RAM.
 
Cpu is of course a suspect, but GPU might be more immediate help.
In games you will notice more of an effect from new GPU than new CPU.

Radeon 5700 is a very good in price/performance/power and can be had for 300, keeping other parts for now.
