What would be the better CPU to use out of this pair?: 3.0 Ghz Prescott/AMD 3000XP?

My system is composed of the following core bits:-

Gigabyte GA-7N400-L

AMD Athlon 3000XP

2Gb Crucial DDR400

LeadTek A400TDH 6800 card.

I've been offered an Intel D865PERL motherboard with a Prescott 3.0GHZ CPU from a fella on another forum. He says he will never use it so to make him an offer for it.

What I'm wondering is if I swapped over to his mobo and P4 would I notice any performance increase over the Athlon 3000XP I currently have running at stock speeds?.

Also, on a related matter, will my 2Gb of DDR400 work ok with this CPU in the Intel board?.

A barton 3000+ or a 3000MHz Prescott? I reckon the hyperthreaded processor would beat it personally but thats just from comparing the performance in Windows between one at college and my 3000+ at home, note that the one at home is a 3000+ A64 so its faster than the 3000+ Barton.

Yep, mine is a Barton cored 3000.

So do you reckon its worth all the hassle swapping over, or should I just build a second system around the P4 for the missus to replace her P3 based box?
