the extra cost of memory to go 64bit, or do I stay with my 32 bit W7 reading 3.25 GB of my 4gb OCZ

I would install 64-bit. There's no reason to use 32-bit anymore, or at least there are very few. Until last month my computer was using Windows 7 64-bit, despite only having 2GB RAM (it now has 6GB).

There's probably no point in spending money to buy x64, but if your key works on a 64-bit install, go for it.
