Geil Value 3200 cas 2.5 1gig
Enermax 485w Noisetaker
Radeon X800XL
250gig hdd

And do you think its worth upgrading or should i go the conroe route?

Personally in your case i'd just buy a x2, core 2 duo is very expensive ( not really the actual cpu, but *** damn ddr-2 and mainboards are) and you need new ram, mobo etc...
X2 is a perfectly capable cpu and should be gone for when you already have all the parts ( mobo, ram etc..)

In your case i'd recommend an x2 3800( or higher cpu, depends on your budget), and overclock it
additional 1 gigabyte of ram
And if you really want it, a 1900xt...

Will handle anything still...

Would agree with that - the upgrade to C2D is a big jump, but given that you have to replace literally everything, I'd wait until the 4x4 AMD offering is out before deciding on which to go for.

I'd say your 1gb ram, then your graphics, then a looooooooooong way behind the winchester.

People seem to be missing the fact that you could still play fear on that graphics card on highest but the lack of ram would make it unplayable. Same for many games recently.

If all you do is games then I'd say oc that winnie and just get a X1950pro / XT and a 2gb kit.

Probably the best option.

As above...RAM, GPU, CPU. Try playing Quake 4 high settings, Ultra textures with 1GB ram. Bloody unplayable due to the file swapping :(
(Went from Geil Golden Value 1GB to what I have in sig right now, and omg it makes a difference on games with +1GB memory usage)

You could always get the asrock board, use your memory and get a nice pcie graphic's card and a e6300. I believe the x800 range don't work with the board.
