It looks fairly decent, it would be better if you could get an aftermarket cooler as well but there wouldn't be that much point yet until you get a good clocking motherboard so go for it.

Stick with the 500W PSU. The difference between the E6300 and E6400 is not really that much on a motherboard that can overclock them decently. You may notice some difference on the Asrock board as the extra multiplier will give you an extra 300mhz but once you get the DS4 you won't really notice the difference between the two. The 500W is the better future proofing solution.

It is as good as you will get for the price and allows you to upgrade in stages which is ideal since you can't do it in one go.

Yes, the motherboard supports Core2Duo, DDR2 Ram as well as both PCI-E and AGP graphics and given the PSU is a standard ATX 2.0 design you will have no problems with it all fitting together.
