I'd take the Gigabyte for better warranty reputation. Both are not the binned versions so will make little difference.
Not sure how good or quiet the inno cooler is in comparison to the windforce. But the Windforce is darn good.

Gigabyte have a UK RMA service and a well-regarded cooler, but the Inno3D card is clocked higher out of the box, has a hilarously massive (as well as quiet and effective) cooler, and it comes with a backplate. Everyone loves a backplate.

The inno cooler is triple slot? If so the decision is simple. I am personally not a fan of triple slots

Gigabyte for the warranty, Inno3D for the cooler. Decide which is more important for you.

thank you for replies and help. I take warranty etc anyday knowing my luck I have bad luck with PC's

It took Gigabyte 2 days to turn around my RMA with them

Can't ask for any better than that.
