Which is better?

ok, firstly which is better - X2 4200+ or c2d e2140?
both in terms of stock speed and overclocking potential?
secondly, do retail versions of both come with heatsinks, fans and thermal paste? how effective are they, and how noisy?

Stock the 4400 is better though at overclocking then the c2d wins easily.

My AMD heatsink is pretty loud and only gives about 300mhz of overclocking protential.
I dont know about the INTEL but if your overclocking its always best to go for 3rd party heatsinks.
