Which Mobo, CPU and GFX?

Hey, I've been lurking round these forums for a while but this is my first post.

I bought myself a Lian Li PC-A05B from OC last week, moved everything to the new case and kind of knackered my mobo.

I've been thinking about upgrading for a while, so looks like I’ll be after a new Mobo, CPU, Cooler, Ram and Graphics card, and I don't really want to spend more than £300 if I can help it.
The system it’s going into is used mainly as a media centre on a 32" LCD, with some downloading and a bit of burning involved so I don’t really need something too powerful.
If possible I’d like a pretty future proof mobo, hopefully SPDIF on the back panel instead of an expansion card, hdmi on the graphics card would be awesome but not necessary as I’ve got a dvi adapter somewhere. Onboard graphics would be ok. 2GB ram, would be willing to get 1GB and upgrade later if it’s not in budget and a quite cooler, maybe a zalman.
So then, waffle over, if anyone can give me a hand I’d greatly appreciate it,

cheers for the replies folks, will take a closer look at your suggestions, im thinking maybe heading towards the intel core duo, got one in my lappy and it serves me well
