Will £200 make a difference ?

Hi,my first post here so be gentle with me :)
My current pc I built over 6 years ago and is as follows....
Case - can't remember the name and there's no name on it but it was highly recommended by all the reviews in it's day,has fans front and back and I'm thinking I can re-use this
Power supply - Tagan TG430-U15 430w....again hoping to re-use.
Motherboard - Asus A8N-SLi
CPU - AMD Athlon 64 3000
Graphics card - GeForce PCX6600GT
2Gb ram
Windows XP

It's getting a little long in the tooth and I'm hoping a motherboard and processor upgrade will make a big difference.

I've been recommended to go for something along the lines of a Asus P8H61-MX USB m/b,Intel Pentium G630 and 4GB Kingston hyperX ram and ditch the graphics card.

Will this be a big enough jump in performance to be noticeable or should I be going down another route ?
I don't play games and am not into overclocking.

There seems to be so much more choice out there these days and I'm a bit bewildered to be honest :)

Yeh I'm aware I'll have to get new optical drives as mine are IDE but I have a brand new Sata HD that I never installed.

£200 is about all I really want to spend plus I'm probably going to install Windows 7 and that's going to be another 70 quid or so on top.
I'm definitely in the budget end lol
