will i have to change my memory if i upgrade to a Phenom II

I am thinking of upgrading to AMD Phenom II X3 Tri Core 720 Black Edition 2.8GHz.

I have this memory.
OCZ 4GB (2x2GB) PC2-6400C5 Dual Channel Vista Gold Series DDR2

Will this memory still work or will i have to upgrade to 1066 memory.
