Will i have to re-install Windows when i put a new CPU in?

You shouldn't have to - might take a little while longer to boot if it's actually a different type (say i7 920 vs i7 975) 'cause it might faff around with drivers but you should be fine.

Your BIOS will likely complain though :D

*Edit* Oh, and changing major components (like a CPU) can require you to reactivate Windows (not a big deal).
 
I will be changing from a AMD Athlon 64 x2 Dual Core 6000+ (3.00MHz) AM2, TO: AMD Phenom II X4 955 Black Edition? Will this be a problem?
 
If the motherboard and socket are compatible I wouldn't think so (sorry - don't know much about AMD CPUs) - might be worth you making sure you've got the latest BIOS for your motherboard first though.
 
When I first went from a dual core to a quad core, Windows did not see the addional cores until I enabled "Detect HAL" from the boot options. Access this from msconfig. Just a heads up incase.

I should add that they were seen in device manager but when in task manager, only two cores were seen and being used.

For the record, new CPU did not force me to re-activate. On Vista x64.
