Will installing a New CPU (same mobo) upset Windows?

If I upgrade to from a Sandy to an Ivy on the same motherboard, will I have to a) do a clean install of Windows, and if I don't will it b) upset the windows activation?
 
You be fine changing the cpu, it may request re-activation (I have changed GPU's in the past and this has requested reactivation) a call to MS using the free-phone number or over the net.
