It has been a long time ago that i upgraded my pc. I am still running on a p4 3.2g Memory just died so i am looking for a new pc and was wondering if this would work as a gamepc with overclock potential

what is your budget?

yes it will work but we might be able to come up with something better.

firstly you will not need a 700W PSU, get the corsair HX520 instead. its a lot better.

2nd it may be better just to get 1 graphics card then sell and upgrade in the future, i suggest a 8800GT/GTS

My budget is around 900.
