Windows 7 freezes in startup

Hi guys,
Just wondering if you could help me out a little bit? When I try to install Windows 7 64bit it freezes or crashes in install. It normally freezes just after its loaded the files, on the blue opening screen; I have verified that this disc is working. some times it turns off and restarts after freezing for a while.
I also tried booting from usb and the same thing happened...
I've disconnected everything, tried different memory configurations, enabled ACHI (or what ever it is) flashed bios, and ran memtest for a long time!

Any help would be very much appreciated!
 
MY specs are:
CMX4GX3M2B1600C9 - 4GB (2x2GB) Corsair XMS3 Classic DDR3
Asus P8P67 LE 1155
I5-2500K
600W CORSAIR PSU
i've switched the HDD and its not that.
 
Still try dimms one at a time. Memory can pass memtest and still be faulty, like ocz likes to :( Last pc I dealt with that had those symptoms had a faulty hdd, which was only picked up by the manufactures tool. If both are good, and the problems happens with both disk and usb begin poking the cpu/mobo :)

You've got the latest bios?

Yeah i have got latest, and I've tried every memory configuration possible. I'm gonna get the mobo replaced anyway to a revised version. I've switched the HDD as well. thanks for your help however!

Any more advice anyone?
