Windows 7 Product Keys

Might be a stupid question and I have already put on my flame proof suit but...

My father has just given me a Win 7 Pro 32-bit upgrade disc and key (never been used) I know that normally a product key covers both the 32-bit and the 64-bit versions of Windows. However does this work with the upgrade key. e.g. could I borrow someone non-upgrade 64-bit disc and do a clean install using the key from my upgrade?

Sorry if this has been answered in a previous thread, however I don't really have time to go searching as I normally would.

Hi guys, thanks for the help.

Managed to put 64-bit on no problem, wouldn't activate online, so I ran through the automated phone activator and it went through no problems
