A service pack. Well done.
Actually ms deliberately turned a blind eye to xp downloads after vista began being hosted by digital river, they know the benefit of digital distribution. You bought a product key i.e. license, not the software - as neither is any use without the other.
That said, if you don't use digital river, would you trust it with your cc details?
There's always the option of actually getting a copy from ms, but they charge a fiver postage and take time.

If he has a COA, then it's legal to use a dowmloaded image of XP.
Even assuming that's correct, which I'm not certain it is, is it also legal to upload it while you torrent it?

I think he probably meant that according to MS's licensing terms, you're not allowed to create an unauthorised copy of the distribution medium, so if MS themselves don't make it available or approve of anyone else doing so (which they don't), if you do download an ISO from an alternative source then you're technically doing something "illegal" (without wanting to get into the semantics of the word).
You have to use a bit of common sense though - if someone downloaded an ISO purely so that they could continue using a product they'd already paid for, I think MS would have a very hard time making any legal action stick, even in the highly unlikely event that they could be bothered to instigate it.
OP - there are plenty of ISOs floating around in the usual, errr, unofficial repositories (ooooh, arrrr, Jim lad), but do make sure you get the pukka version, and check the download against the SHA-1 hash as follows:
XP Home with SP3 (retail): 5A6B959AD24D15DC7EBD85E501B83D105D1B37C6
XP Pro with SP3 (retail): 1C735B38931BF57FB14EBD9A9BA253CEB443D459
If you have an OEM product key the retail discs won't work out of the box, but there are simple ways around it if you search the forum.
