Windows Vista Upgrade EULA

I know that windows vista retail is transferable to as many pcs as you want and that the OEM version is stuck to a single motherboard.

However, what about the upgrade edition. Say i have a laptop with a legit copy of xp and then upgrade this to vista. This invalidates my xp key legally (though no system exists to ban it). Can i then simply revert to xp on my laptop and then use the upgrade version another version of xp on a different laptop/desktop?

Similarly, will i be able to use the vista upgrade workaround to transfer the OS freely without having to phone up microsoft (i.e. the same as the retail version)
