with an 8800 do you need a good proccessor?

would i really have to make sure i have a good conroe or a very fast proccessor to make the most out of a 8800? or would a decent AMD be ok?
 
i havent got a that big budget, just got a little bit after i get a refund on my 360, and its a GTS which im not sure is worth getting yet.
 
my current computer is a pentium 4 2.66ghz, 512mb ram and a geforce 4 mx, building my own after xmas because my current one is complete crap.
 
do you think this would be a waste of money for gaming?

8800GTS
2gb 6400 800mhz ram
AMD athlon 64 3800+ 2.4ghz?

i really think th e proccessor would completely bottleneck the system
