Worth upgrading my x2 3800

I only managed to clock it to 2.34. I have 2ghz crucial mem, asus a8n-deluxe, x-fi, 7800GTX.

Is it worth upgrading my PC to the E4300 (hopefully overclock it better than my current x2 3800) and a 8800GTS

Would I then have to upgrade my mem?

Im running games at 1600*1050. Thinking of in the future with all this DX10 malarky. It runs kinda fine, maybe slows a bit in a company of heroes on top settings.

I had essentially the same system (see sig) and noticed a big difference upgrading to a 8800GTS from a 7800GTX. I researched a lot and did not think the CPU upgrade was necessary yet for games.

How much would a 7800GTX go for nowadays second hand....?

7800GTX = ~£90-100

Rougly same speed of a 7900GS which can be had for £108 new.
