Worthy upgrade?

Do you think this is a worthy upgrade?

Current System:
ASUS A8N32-Sli Deluxe Skt 939 Mobo
AMD4600+ @ 2.7 on stock air cooler
Corsair 2GB PC3500 LL TwinX
BFG OC Geforce 7800GT 256MB

To:
Abit AW9D MAX Skt 775 <-- or go for a different 775 board or one of the newer P35 based boards?
Intel E6600 2.4Ghz
Corsair 2GB DDR2 XMS2 Dominator DHX PC2-6400C4 TwinX (2x1GB)
Saphire ATI X1950 XT 256 MB

I'm thinking the Conroe will be faster by default than the AMD 4600+ as it has a lot more cache, and it should overclock better. Plus the Radeon is faster than my Geforce, what do you guys think?

Intel Core 2 Duo E6750 "LGA775 Conroe" 2.66GHz (1333FSB) - these aren't out yet by the looks of it so would have to wait a bit.
Corsair 2GB DDR2 XMS2-6400C4 TwinX (2x1GB)
PowerColor ATI Radeon X1950 XT Extreme SILENT Heatpipe 512MB GDDR3 - really not sure about the cooling solution on this card, looks like I need a case full of fans to keep this cool?
