Would this system be OK?

Looking at replacing an AMD 4200+ 2Gb RAM system. How does the following sound.
System will be used for Lightroom work, Elements and possibly future Photoshop.
Will never be overclocked. Would better spec memory or motherboard make much difference for me?
Might up memory to 4Gb. Should I replace the retail chip fan? If so, what is recommended?
Debated whether to go for Quad 6600 with lower clock speed rather than higher speed dual core. Thoughts?

If you plan to run a lot of programs at the same time then the quadcore is a good idea, also have a look at some of the p45 motherboards.

I dont know if i am miss reading something but have you got a graphics card already you are going to move across?

Yes, I have a spare ATI X1300. Nothing special but I understood from reading that for 2d Lightroom and Photoshop there is little or no advantage to having a powerful graphics card.

Should all work fine then, it may be an idea to get 2gb more ram, as when i used vista it seemed to use 1gb on just running itself :/
 
Go for a Quad Q6600 and 4gb RAM.

Buy another CPU cooler instead of using the stock one if you are overclocking or want a quiet system.
