x2 3800+ or opteron 165?

They are actually about the same:

X2 3800 = 2.0ghz, 512mb cache
Opty 165 = 1.8ghz, 1mb cache

It is generally considered that the extra 512mb cache of the Opty will give the equivalent of about 200mhz speed increase for some applications. But at stock speeds the 3800 will be faster in some things and the Opty faster in others. Although the difference will be very, very small.

When overclocking I would personally rather have the extra cache because they are likely tp both clock to similar speeds and you'll never be able to add the extra cache to the 3800. Either will be a good buy and it really depends on which you can get cheapest.

For the record my (very early) Opty 165 clocks to 2.6ghz although it gets a little warm at this speed and I generally run it at 2.5ghz so I can slow my fans right down for quietness.

EDIT: The 3800 wil have a multi of 10 and the Opty 165 a multi of 9 so one thing in the 3800's favour is that an HTT of 250 will give you 2.5ghz but with the Opty you'll need to raise that to around HTT 280.
