X2 3800 or X2 4400 ?

I have a dilema (probably not an uncommon one). I've not really had much experience with overclocking and I can't decide whether to get a X2 4400 for save a bit of cash and get the X2 3800 and attempt to overclock it. Is water cooling essential to overclock and still have a stable system or not ? What difference will the cache make (3800 only has 512k - 1mb on 4400) ?

Any help appreciated.
 
Now that the Opteron 165 has been chucked in there, what do people think about that ? Still quite a bit cheaper than the 4400...

/edit - If I was going to overclock would I need special RAM or would 2GB of the Geil Value be OK ?

This is for a new system so motherboard etc has not been purchased yet although i'll probably get a DFI m'board.
