XP Giveaway?

I'm selling my current PC to a work colleague and I'll be doing a fresh install of Win XP beforehand. Is it legal for me to give away my copy of XP along with my PC?

My intention's to purchase a laptop with Vista therefore, I'll not require XP.
 
If it came with the PC or was bought OEM for those parts (mainly linked to motherboard) then it is legal. It is also fine to resell or change system completely with retail disks.
 
It's actually an upgrade version to my copy of 98 which came with my first PC.

So you bought a PC which came with 98 (OEM I expect). You then built a new computer which you then used an upgrade XP disk using the 98 disk as original.

To be honest, if the 98 was OEM it sounds like the PC has never been completely legally licenced as the 98 licence was for a completely different computer. Using an upgrade doesn't give you a new licence, it just upgrades the current licence to include the new O/S.
If it was retial, then you would be OK, but you will legally have to supply the 98 stuff to your colleague.
