mATX mobo for HTPC (E2140 + GeIL 2GB (2x1GB) PC2-6400C4)

Ok so i have a E2140 + GeIL 2GB (2x1GB) PC2-6400C4 that i'm going to use as a basis for a new htpc system.

I was looking at the Abit Fatal1ty F-I90HD ATI Micro ATX but i'm not sure now, having read a bit about it.

Anyone have any better suggestions, I've not done overclocking before, but i think i'd like to give it a go with the E2140
 
Gigabyte GA-P31-S3L will overclock those to at least 333MHz - and it's cheap-ish too. Other than that, the GA G33M DS2R is a proper overclocking board - 3.4GHz with even a Q6600 is very possible if you can keep the CPU and chipset cool.

That's a bit pricey for me i think at this stage.

Any other ideas?

Sorry - this was the one I meant - Gigabyte GA-G31MX-S2 £40 Incl. delivery. I genuinely can't see you getting anything that clocks for much less than that.
 
ahh thanks for clarification - i'm not all that fussed about clocking, as it will be a huge improvement for me as stock anyway!

Im looking to knock up a video editing system as an xmas pressy using an E2180 and a cheap 2 gig set of RAM, Will this Gigabyte mobo be good to clock the chip to around 2.8ghz?
